Terms of Service

Effective Date: February 7, 2025

These Terms of Service ("Terms") govern access to and use of the Checklogix platform, website, and related services (collectively, the "Services") provided by Checklogix, Inc ("Checklogix," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Checklogix, you represent that you are authorized to enter into these Terms on behalf of yourself or the organization you represent. If you do not agree to these Terms, you may not use the Services.

2. Description of Services

Checklogix provides a cloud-based documentation platform that enables users to create, manage, and track customized digital checklists and logs, including AI-assisted features, reporting, and compliance tools.

3. Eligibility

You must be at least 13 years old and authorized by your organization to use the Services. Use of the Services must comply with all applicable laws and regulations.

4. Account Registration & Security

  • Users must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of login credentials.
  • You agree to notify Checklogix immediately of any unauthorized use of your account.

Checklogix is not responsible for losses caused by unauthorized access resulting from your failure to safeguard credentials.

5. Authorized Use

You agree to use the Services solely for lawful business purposes and in accordance with these Terms. You shall not:

  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent security or access controls
  • Use the Services to store or transmit malicious code
  • Interfere with system performance or availability

6. Subscription Plans & Fees

Access to certain features depends on the subscription plan selected.

  • Fees are billed in advance on a quarterly or annual basis
  • All fees are non-refundable unless expressly stated otherwise
  • Failure to pay fees may result in suspension or termination of access

Pricing and plan details are available on the Checklogix website or in a separate agreement.

7. Customer Data & Ownership

  • Customers retain ownership of all data entered into the platform ("Customer Data").
  • Checklogix processes Customer Data solely to provide and improve the Services.
  • Customers are responsible for the accuracy and legality of Customer Data submitted.

De-identified and aggregated data may be used for analytics and platform improvement.

8. Privacy & Security

Use of the Services is subject to the Checklogix Privacy Policy, which is incorporated by reference. Checklogix implements reasonable administrative, technical, and physical safeguards to protect Customer Data.

9. HIPAA & Healthcare Compliance

When Customer Data includes Protected Health Information (PHI), Checklogix acts as a Business Associate and will process such data in accordance with an executed Business Associate Agreement (BAA).

10. AI Features

Checklogix may offer AI-powered features to assist with workflow creation and optimization.

  • AI outputs are provided for assistance only
  • Customers are responsible for reviewing and validating AI-generated content
  • Customer Data is not used to train public or third-party AI models

11. Intellectual Property

All intellectual property rights in the Services, including software, trademarks, and documentation, are owned by Checklogix. No rights are granted except as expressly stated in these Terms.

12. Service Availability

Checklogix uses commercially reasonable efforts to maintain service availability but does not guarantee uninterrupted access. Scheduled maintenance and unexpected outages may occur.

13. Term & Termination

These Terms remain in effect while you use the Services. Checklogix may suspend or terminate access if:

  • These Terms are violated
  • Fees are unpaid
  • Use poses a security or legal risk

Upon termination, access to the Services will cease, subject to data retention obligations.

14. Disclaimer of Warranties

The Services are provided "AS IS" and "AS AVAILABLE." Checklogix disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

15. Limitation of Liability

To the fullest extent permitted by law:

  • Checklogix shall not be liable for indirect, incidental, or consequential damages
  • Total liability shall not exceed fees paid by the customer in the twelve (12) months preceding the claim

16. Indemnification

You agree to indemnify and hold harmless Checklogix from claims arising from:

  • Your misuse of the Services
  • Violation of these Terms
  • Violation of applicable laws or regulations

17. Governing Law

These Terms shall be governed by the laws of Maryland, without regard to conflict-of-law principles.

18. Changes to Terms

Checklogix may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms.
